Subscription for warrants series A by Entitled Persons under the fourth tranche of Incentive Program

Following the current reports no 22/2011 dated 11 November 2011 and 18/2015 dated
27.05.2015 the Management Board of TOYA S.A. („the Company”) informs that under the Incentive Program for Board Members and other and other key employees, all Entitled Persons listed in the Supervisory Board resolution dated 28 May 2015 (total of 15 persons), made a statement to accept received offers to acquire registered warrants.

183 897 registered warrants series A were acquired, which were issued pursuant to Resolution No. 3 of the General Meeting of Shareholders on 8 February 2011 on the issue of subscription warrants of series A with the exclusion of the pre-emptive right to acquire shares. The warrants entitle to subscribe for 183 897 ordinary bearer shares series D.
