Resolution of the Management Board of TOYA S.A. regarding changes in the Company’s Articles of Association

The Management Board of TOYA S.A. (Company) hereby informs that on 18 February 2013, acting on the base of § 7 points 5-7 of Company’s’ Articles of Associations, following article  446 § 1 of the Commercial Companies Code it has adopted a resolution regarding changes in the Company’s Articles of Association.

Following the resolution of the Management Board dated 18 February 2013 referred to in the current report 9/2013, the resolution concerns changes of the current wording of §7 ust.1:

§ 7

  1. 1.      The share capital amounts to PLN 7,521,358.90 (in words: seven million five hundred twenty one thousands three hundred fifty eight and ninety cents) and is divided into 75,213,589 (in words: seventy five million two hundred thirteen thousands five hundred eighty nine) shares with par value of PLN 0.1 (ten cents) each, including: 

                                                                                                        

a)      60,000,000 (in words: sixty million) ordinary bearer shares series A numbered from 1 to 60,000,000, shares with par value of PLN ten cents each, covered with cash contribution,

b)      5,573,800 (in words: five million five hundred seventy three thousand eight hundred) ordinary bearer shares series B numbered from 1 to 5,573,800, with par value of PLN ten cents each, covered with cash contribution,

c)      9,263,000 (in words: nine million two hundred sixty three thousands) ordinary bearer shares series C numbered from 1 to 9,263,000, with par value of PLN ten cents each, covered with cash contribution.           

d)      188,947 (in words: one hundred eighty eight thousands nine hundred forty seven ordinary bearer shares series E numbered from 1 to 188 947, with par value of PLN ten cents each, covered with cash contribution.

e)      187,842 (in words: one hundred eighty seven thousands eight hundred forty two) ordinary bearer shares series E numbered from 1 to 187,842, with par value of PLN ten cents each, covered with cash contribution.

To the new wording:

§ 7

 

  1. 1.      The share capital amounts to PLN 7,540,237.50 (in words: seven million five hundred forty thousand two hundred thirty seven zloty and fifty cents) and is divided into 75 402 375 (in words: seventy five million four hundred two thousands three hundred seventy five) shares with par value of PLN 0.1 (ten cents) each, including: 

 

a)      60,000,000 (in words: sixty million) ordinary bearer shares series A numbered from 1 to 60,000,000, shares with par value of PLN ten cents each, covered with cash contribution,

b)      5,573,800 (in words: five million five hundred seventy three thousand eight hundred) ordinary bearer shares series B numbered from 1 to 5,573,800, with par value of PLN ten cents each, covered with cash contribution,

c)      9,263,000 (in words: nine million two hundred sixty three thousands) ordinary bearer shares series C numbered from 1 to 9,263,000, with par value of PLN ten cents each, covered with cash contribution.           

d)      188,947 (in words: one hundred eighty eight thousands nine hundred forty seven ordinary bearer shares series E numbered from 1 to 188 947, with par value of PLN ten cents each, covered with cash contribution.

e)      187,842 (in words: one hundred eighty seven thousands eight hundred forty two) ordinary bearer shares series E numbered from 1 to 187,842, with par value of PLN ten cents each, covered with cash contribution.

f)       188,786 (in words: one hundred eighty eight thousands seven hundred eighty six) ordinary bearer shares series E numbered from 1 to 188,786, with par value of PLN ten cents each, covered with cash contribution.

 

Legal basis: § 34 section 1 point 2 of the Regulation of the Minister of Finance dated February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
