Resolution of National Depository for Securities – registration of shares series E

The management Board of Toya S.A. („the Company”) hereby announces that on 6 June 2012 it has received a resolution no. 408/2012 of the Management Board of the National Depository for Securities (“KDPW”)  dated 5 June 2012 („Resolution”). Pursuant to this resolution, following  § 40 point 2, 3 and 4a in relation to § 2 point 1 and 4 of the National Depository for Securities Regulations, having considered the request of Toya S.A. the Management Board of KDPW   decided to register in the securities deposit 187.842 (one hundred eighty seven thousands eight hundred forty two) ordinary bearer shares series E of TOYA S.A. with par value of PLN 0,10 (ten cents) each and assign to the code PLTOYA000011. The registration is effective provided that the company running the regulated market decides to introduce shares to trade on the regulated market to which the Company’s other shares marked with this code have been introduced. Shares will be registered in KDPW within 3 days of the date of receipt by KDPW of documents confirming that the company running the regulated market has decided to introduce shares to trade on the regulated market to which the Company’s other shares marked with this code have been introduced, but no earlier than on the date of introduction of such shares to trade on this market as indicated in the said decision.

The purpose of the share issue was to grant shares series E to the Supervisory Board Members.
