The Management Board of TOYA S.A. (hereinafter referred to as the Issuer) informs that on 7 September 2023, the Issuer was served with the decision of the District Court for Wrocław – Fabryczna in Wrocław, 6th Commercial Division of the National Court Register of 7 September 2023 on the registration of the amendment to the Issuer’s Articles of Association adopted by Resolution No. 21 of the Ordinary General Meeting of Shareholders of TOYA S.A. of 29 June 2023, the adoption of which was notified by the Issuer with Current Report No. 9/2023 of 29 June 2023. The amendment consists of adding Article 17a after Article 17 of the Company’s Articles of Association which reads as follows:

The Management Board’s information obligations set out in Article 3801 § 1 and § 2 of the Code of Commercial Companies and Partnerships shall be limited in such a manner that the Management Board shall be obliged to provide the information indicated in the aforementioned provisions only at the express request of the Supervisory Board.”
In addition, the Issuer encloses the consolidated text of the Articles of Association, established by the Supervisory Board of the Issuer on 13 July 2023.
