Proposal of the Management Board on the distribution of the Company’s profit from financial year 2023

The Management Board of TOYA S.A. with its registered office in Wrocław (hereinafter referred to as the Company) informs that on 20 May 2024 it adopted a resolution on approval of the proposal of the Management Board to the General Meeting of TOYA S.A. regarding distribution of profit recognised in the separate financial statements of TOYA S.A. for the financial year ended 31 December 2023. In accordance with the aforementioned resolution, the Management Board proposes to the General Meeting of TOYA S.A. (hereinafter referred to as the GM) to distribute the net profit for the financial year 2023 of PLN 52,894,722.54 (in words: fifty-two million eight hundred and ninety-four thousand seven hundred and twenty-two zloty, 54/100) as follows:

allocate the entirety of net profit for the financial year 2023 of PLN 52,894,722.54 (in words: fifty-two million eight hundred and ninety-four thousand seven hundred and twenty-two zloty, 54/100) to supplementary capital.


The Company’s Management Board aims to strengthen the financial stability of the TOYA Capital Group (hereinafter referred to as the Capital Group) and prepare it for future challenges. A consequence of the Capital Group’s dynamic growth is the need to maintain working capital at an optimum level while ensuring the Capital Group’s good liquidity. The Management Board takes into account the current market conditions, uncertain macroeconomic and geopolitical environment, and current and anticipated liabilities.

The final decision on the distribution of the Company’s profit for the financial year 2023 shall be made by the GM.

The Company’s Management Board shall ask the Company’s Supervisory Board to give its opinion on the Management Board’s proposal.

The Report has been prepared on the basis of Article 17(1) of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (OJ EU L of 2014, No. 173, page 1, as amended)
