Evaluation of the proposal of the Management Board of TOYA S.A. regarding the distribution of profit recognised in the financial statements for financial year 2021

The Management Board of TOYA S.A. announces that the Supervisory Board, acting pursuant to Art. 382 § 3 of the Act of 15 September 2000 ─ Code of Commercial Companies and Partnerships (Journal of Laws of 2019, item 505 as amended) on 31 May 2022 evaluated the proposal of the Management Board regarding the distribution of profit recognised in the standalone financial statements of TOYA S.A. for the financial year ended 31 December 2021.

Under this evaluation, the Supervisory Board positively assesses:

1. the proposal of the Management Board regarding the distribution of profit in the amount of PLN 63 242 823.69 (say: sixty-three million two hundred forty-two thousand eight hundred twenty-three 69/100 Zloty) to be performed in the following manner:

a) the amount of PLN 24 763 934.58 (say: twenty-four million seven hundred sixty-three thousand nine hundred thirty-four 58/100 Zloty) is to be allocated for the payment of dividends to the Company’s Shareholders, which is PLN 0.33 (thirty-three Polish grosz) per share;

b) the amount of PLN 38 478 889.11 (say: thirty eight million four hundred seventy eight thousand eight hundred eighty-nine 11/100 Zloty) shall be allocated to supplementary capital.

2. a proposal to set the dividend date on 27 September 2022 and the dividend payment date on 10 October 2022.

In view of the above, the Supervisory Board recommends that the Annual General Meeting approves the distribution of profit of TOYA S.A. in the manner specified in the proposal of the Management Board.

The report was prepared pursuant to: Art. 17 section 1 of the Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (OJ L of 2014 No. 173, p. 1, as amended).
