Decision on recapitalisation of YATO Tools (Jiaxing) CO., LTD (hereinafter referred to as: the Subsidiary) by increasing the registered capital in the Subsidiary and taking hold of shares in the Subsidiary

The Management Board of TOYA S.A. (hereinafter referred to as: the Issuer), in conjunction with the current report no. 30/2019 of 27 November 2019 concerning a decision on establishment of a subsidiary, taking hold of shares in the Subsidiary and disposing of the assets of TOYA S.A., announces that on 21 December 2021 it took a decision on recapitalisation of the Subsidiary by increasing the registered capital in the Subsidiary and taking hold of shares in the Subsidiary.

The Issuer took hold of shares in the Subsidiary with a nominal value of USD 8 000 000 (say: eight million United States dollars).

The Issuer intends to recapitalise the Subsidiary by taking hold of additional shares with a nominal value of USD 4 500 000 (say: four million five hundred thousand United States dollars). After taking hold of additional shares, the Issuer shall hold shares in the Subsidiary with a total nominal value of USD 12 500 000 (say: twelve million five hundred thousand United States dollars).

The Subsidiary shall use the additional capital, among other things, for the purchase of necessary warehouse equipment, including an automatic storage and retrieval system.

 At the same time, the Issuer announces that the Company’s Supervisory Board, under Resolution no. 28/RN/2021 of 21 December 2021, gave consent for the Company to take hold of shares in the Subsidiary with a total nominal value of USD 12 500 000 (say: twelve million five hundred thousand)

The Issuer shall inform about the increase of the registered capital and taking hold of shares in a separate current report.

Legal basis: Article 17 section 1 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (OJ EU. L. of 2014 No. 173, p. 1, as amended).
