Conclusion of an overdraft agreement no. WAR/8833/20/326/CB with BNP Paribas Bank Polska Spółka Akcyjna with its registered office in Warsaw

TOYA S.A. (hereinafter: “Issuer”) informs that on August 28, 2020 concluded an overdraft agreement WAR/8833/20/326/CB with BNP Paribas Bank Polska Spółka Akcyjna with its registered office in Warsaw (hereinafter: the “Agreement”). The subject of the agreement is a loan granted to finance the current operations of the Issuer. The funds from the loan will replace the existing funds from the overdraft in accordance with the agreement No.K00856/17 of September 19, 2017, as amended, concluded with Santander Bank Polska S.A. with headquarters in Warsaw, the end date of use is September 19, 2020 (as mentioned in the Current Report No. 26/2019 of September 17, 2019).

The loan amount is PLN 25,000,000. The current loan availability period will start on September 19, 2020 until September 18, 2021
The loan will be secured by:
1. a contractual mortgage on a real estate in Wrocław at ul. Sołtysowicka 39 up to PLN 37,500,000.00 (in words: thirty seven million five hundred thousand zlotys),

2. assignment of rights under the property insurance policy in Wrocław at ul. Sołtysowicka 39, the sum insured may not be less than PLN 12,000,000.00 (in words: twelve million zlotys)

3. general assignment of the Issuer’s receivables from debtors (recipients)

4. a blank promissory note issued by the Issuer with a promissory note declaration.

5. Power of attorney to the Issuer’s current accounts kept with the bank

The interest rate will be equal to the WIBOR 1M base rate increased by the Bank’s margin.

The remaining terms of the Agreement do not differ from those commonly used in this type of agreement.
