TOYA S.A. (hereinafter referred to as the “Issuer”), with reference to the Current Report No. 2/2024 dated 6 March 2024 regarding the consent to provide surety for the obligations of YATO TOOLS (Shanghai) Co., Ltd., announces that on 26 March 2024 it was informed that YATO TOOL (Shanghai) Co., Ltd. (hereinafter referred to as the “Subsidiary”) has concluded a Short-Term Revolving Credit Agreement (hereinafter referred to as the “Agreement”) with CITIBANK (CHINA) CO., LTD. SHANGHAI BRANCH, with its registered office in the People’s Republic of China.
The credit amount is CNY 60,000,000.00 (in words: sixty million Chinese yuan). The amount shall be used for the day-to-day operations of the Subsidiary. The Agreement was concluded for 12 months.
The credit shall be secured with the Issuer’s surety for the Subsidiary’s obligations under the Surety Agreement, the terms and conditions of which were set out by the Issuer in Current Report No. 2/2024.
The Issuer shall announce the conclusion of the Surety Agreement in a separate report.
Other terms and conditions of the Agreement do not deviate from those commonly applied to this type of agreement.
