The Management Board of Toya S.A. hereby informs that as a result of conditional increase of share capital executed based on the resolution no 4 of the Extraordinary General Meeting dated 8 February 2011 and in connection with the introduction, on 3 July 2015 to trading on the parallel market the total of 183 897 ordinary bearer shares series D with par value of PLN 0,1 each, and with the total nominal value of PLN 18 389,70 (in words: eighteen thousands three hundred eighty nine 70/100), and in connection with the issuance of these shares to the shareholders in accordance with Art. 451 § 2 of the Commercial Companies Code, on 3 July 2015 the share capital described in § 7 paragraph 1 of the Articles of Association has been clarified and the present wording:
- The share capital amounts to PLN 7 814 694, 40 (seven million eight hundred fourteen thousand six hundred ninety four zloty 40/100) and is divided into 78 146 944 (in words: seventy eight million one hundred forty six thousands nine hundred forty four) shares with par value of PLN 0.1 (ten cents) each, including:
a) 60,000,000 (in words: sixty million) ordinary bearer shares series A numbered from 1 to 60,000,000, shares with par value of PLN ten cents each, covered with cash contribution,
b) 5,573,800 (in words: five million five hundred seventy three thousand eight hundred) ordinary bearer shares series B numbered from 1 to 5,573,800, with par value of PLN ten cents each, covered with cash contribution,
c) 9,263,000 (in words: nine million two hundred sixty three thousands) ordinary bearer shares series C numbered from 1 to 9,263,000, with par value of PLN ten cents each, covered with cash contribution.
d) 469 681 (in words: four hundred sixty nine thousands six hundred eighty one) ordinary bearer shares series D numbered from 1 to 469 681, with par value of PLN ten cents each, covered with cash contribution.
e) 187,842 (in words: one hundred eighty seven thousands eight hundred forty two) ordinary bearer shares series E numbered from 1 to 187,842, with par value of PLN ten cents each, covered with cash contribution.
f) 188,786 (in words: one hundred eighty eight thousands seven hundred eighty six) ordinary bearer shares series F numbered from 1 to 188,786, with par value of PLN ten cents each, covered with cash contribution.
g) 133,835 (in words: one hundred thirty three thousand eight hundred thirty five) ordinary bearer shares series G numbered from 1 to 133,835, with par value of PLN ten cents each, covered with cash contribution.
h) 2,330,000 (in words: two millions three hundred thirty thousand) ordinary bearer shares series H numbered from 1 to 2,330,000, with par value of PLN ten cents each, covered with cash contribution.
has been amended in the following way:
- The share capital amounts to PLN 7 833 084,10 (seven million eight hundred thirty three thousands eighty four zloty 1 0/100) and is divided into 78 330 841 (in words: seventy eight million three hundred thirty thousand eight hundred forty one) shares with par value of PLN 0.1 (ten cents) each, including:
a) 60,000,000 (in words: sixty million) ordinary bearer shares series A numbered from 1 to 60,000,000, shares with par value of PLN ten cents each, covered with cash contribution,
b) 5,573,800 (in words: five million five hundred seventy three thousand eight hundred) ordinary bearer shares series B numbered from 1 to 5,573,800, with par value of PLN ten cents each, covered with cash contribution,
c) 9,263,000 (in words: nine million two hundred sixty three thousands) ordinary bearer shares series C numbered from 1 to 9,263,000, with par value of PLN ten cents each, covered with cash contribution.
