Appointment of members of the Supervisory Board of TOYA S.A.

Management Board of TOYA S.A. in Wrocław (“Issuer”) hereby informs that on 26 June 2014, in view of the expiry of the term of office of the Supervisory Board and the expiration as of the date of the OGM mandates of its members, the Ordinary General Meeting adopted a resolution regarding appointment to the Supervisory Board for a new term:

1. Mr Piotr Mondalski
2. Mr Jan Szmidt,
3. Mr Dariusz Górka,
4. Mr Grzegorz Maciąg,
5. Mr Tomasz Koprowski.

According to the above mentioned, the persons were appointed to serve as members of the Supervisory Board for the joint term of office beginning on the date of the adoption of resolutions by the Ordinary General Meeting of the Issuer, ie. 26 June 2014., and ending on the date of the General Meeting approving the financial statements of the Issuer for the financial year 2016.

Candidates have the education, qualifications and professional experience to qualify for the function of Supervisory Board Members. In addition Gentlemen: Piotr Mondalski, Dariusz Górka and Grzegorz Maciąg meet the criteria to be fulfilled by the independent members of the Supervisory Board.

According to statements made by the appointed members of the Supervisory Board, they do not conduct competitive activity, as well as not participate in a competitive company as shareholders of a civil partnership or as members of a company’s competitive capital or members of the governing body of any competitive legal person as well as are not entered in the Register of Insolvent Debtors maintained pursuant to the provisions of the Act of 20 August 1997 on the National Court Register.

The Issuer provides CV’s of the newly appointed members of the Supervisory Board as the attachments.

§ 5 section 1 point 22 of the Regulation of the Minister of Finance dated February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
