Appointment of Management Board members pf TOYA S.A.

Management Board of TOYA S.A. (“Issuer”) hereby informs that on 26 June 2014 the Supervisory Board of the Issuer, in connection with the expiration of the term of the Management Board and the expiration of the date of the OGM mandates of its members, adopted a resolution on appointment to the Management Board of the new term:

1. Mr Grzegorz Pinkosz – as the President of the Management Board
2. Mr Dariusz Hajek – as the Vice-President of the Management Board
3. Mr Maciej Lubnauer – as the Vice-President of the Management Board

According to the above mentioned, the persons were appointed to serve as members of the Management Board for a new term beginning on the date of adoption of resolutions by the Ordinary General Meeting of the Issuer, i.e. since 26 June 2014, and ending on the date of the General Meeting approving the financial statements of the Issuer for the year in 2016.

Candidates have the education, qualifications and professional experience to qualify for the function of members of the Management Board.

According to statements made by the appointed members of the Management Board, they do not conduct competitive activity, as well as not participate in a competitive company as shareholders of a civil partnership or as members of a company’s competitive capital or members of the governing body of any competitive legal person as well as are not entered in the Register of Insolvent Debtors maintained pursuant to the provisions of the Act of 20 August 1997 on the National Court Register.

The Issuer provides CV’s of the newly appointed members of the Supervisory Board as the attachments.
