Appointing a member of the Supervisory Board of TOYA S.A.

The Management Board of TOYA S.A. in Wrocław (the “Issuer”) informs that on 20 November, 2018 the Extraordinary General Meeting of Shareholders of TOYA S.A., pursuant to art. 385 § 1 of the Commercial Companies Code (Act) of 15 September, 2000 (Journal of Laws of 2017, item 1577) and § 16, section 2 of the Issuer’s Articles of Association and in connection with the resignation of Mr Tomasz Koprowski from serving the function of the Company’s Supervisory Board Member with effect on 29 August, 2018 appointed, to the 7-person composition of the Issuer’s Supervisory Board, for a period of a joint 3-year term commenced on 29 June, 2017, a Member of the Supervisory Board Member in the person of Ms Beata Szmidt.
In 1990, Ms Beata Szmidt graduated from the Faculty of Psychology of the Wrocław University. As a long-term shareholder, knowing the specificity of the Issuer’s operations, from 5 December, 2001 to 23 March, 2006 she served the function of the Issuer’s Supervisory Board member. Ms Beata Szmidt is not employed with the Company under an employment contract.
According to the statement submitted by the Supervisory Board member appointed, Ms Beata Szmidt does not run any business that is competitive with respect to the Company as well as she is not involved in a competitive company as a partner, in a civil law partnership, partnership, limited liability company or body member of a competitive company or body member of any competitive legal person as well as she is not entered into the Register of Insolvent Debtors as kept under the provisions of the National Court Register Act of 20 August, 1997.
