The Management Board of TOYA S.A. (hereinafter: the “Company”) hereby informs that, on 6/03/2018, the Company’s Supervisory Board, acting pursuant to the authorisation granted by the Extraordinary General Meeting of the Company, by way of resolution no. 8 of 27/02/2018 in the matter of amending §17, section 2, letter “a,” section 4 and adding a new section 5 to the Company’s Articles of Association as well as authorising the Supervisory Board to determine the consolidated text of the Company’s Articles of Association, adopted the consolidated text of the Company’s Articles of Association, including changes adopted by way of resolution no. 6 of the Extraordinary General Meeting of Shareholders of the Company of 27/02/2018 in the matter of changing the designation of the Company’s shares and amending § 7, section 1 of the Company’s Articles of Association and resolution no. 8 of the Extraordinary General Meeting of Shareholders of TOYA Spółka Akcyjna with a registered seat in Wrocław of 27/02/2018 in the matter of amending § 17, section 2, letter “a,” section 4 and adding a new section 5 to the Company’s Articles of Association and authorising the Supervisory Board to determine the consolidated text of the Company’s Articles of Association.
The changes to the Articles of Association come into force on the day of registering the same by the Registry Court. The information on registering the changes to the Company’s Articles of Association will be transferred by the Company in the form as provided for in the law immediately upon receipt of relevant information on issuing a decision in this respect by the registry court.
The consolidated text of the Company’s Articles of Association, as adopted by the Company’s Supervisory Board, makes up an attachment to the present report.
