TOYA S.A. (hereinafter referred to as the “Issuer”) informs that on 12 December 2025 it concluded a Multi-Line Agreement No. K01535/25 with Santander Bank Polska Spółka Akcyjna with its registered office in Warsaw (hereinafter referred to as the “Agreement”).
The total amount of the Agreement is PLN 75,000,000.00 (in words: seventy-five million 00/100 Polish zlotys) including:
- Bank Overdraft and Foreign Currency Overdraft up to the amount of PLN 70,000,000.00 (in words: seventy million 00/100 Polish zlotys) with the possibility of simultaneous use of the Loan in the currency of use: PLN, EUR, USD.
Repayment deadline: 12 December 2027.
The Loan was granted without any security on the Issuer’s property.
The interest rate shall be equal to the WIBOR 1M base rate (for PLN), the EURIBOR 1m base rate (for EUR) and the SOFR base rate (for USD) plus the Bank’s margin.
- The limit on Guarantees up to PLN 5,000,000.00 (in words: five million 00/100 Polish zlotys) with an availability period until 12 December 2026 and a maximum expiry date of: at the latest, 3 years from the date of expiry of the availability period.
Other terms and conditions of the Agreement do not deviate from those commonly applied to this type of agreement.
